Terms of Service

1. What the Service is

mybizhub helps Canadian businesses organize corporate compliance by tracking filing obligations, calculating deadlines from the information you provide, sending reminders, and storing documents you upload. The Service provides information and reminders only.

2. Important: not legal, tax, or accounting advice

mybizhub is not a law firm, accounting firm, or registered agent, and we do not provide legal, tax, or accounting advice. The deadlines, descriptions, links, and other information provided through the Service are for general informational and organizational purposes only and may not reflect the most current requirements for your specific situation.

You are solely responsible for your corporation's filings and for meeting your filing deadlines. You should independently verify all requirements, deadlines, and consequences with a qualified professional (such as a lawyer or accountant) and with the relevant government authority before acting or relying on any information in the Service.

To the fullest extent permitted by law, mybizhub is not responsible or liable for any missed deadline, late or incorrect filing, penalty, interest, loss of good standing, dissolution, or any other consequence arising from your use of — or reliance on — the Service, including any error, omission, or delay in the information or reminders we provide. Reminders are a convenience and are not guaranteed to be delivered or received.

3. Accounts

You must provide accurate information when creating an account and keep it up to date. You are responsible for the activity under your account and for keeping your access credentials secure. You must be at least the age of majority in your province or territory and authorized to act on behalf of any business you add to the Service.

4. Acceptable use

You agree not to:

• use the Service for any unlawful purpose or in violation of these Terms;
• upload content you do not have the right to upload, or that is malicious or infringing;
• attempt to gain unauthorized access to the Service, other accounts, or our systems;
• interfere with or disrupt the integrity or performance of the Service;
• reverse engineer or resell the Service except as expressly permitted.

5. Subscriptions and billing (applies when paid plans launch)

Some features may require a paid subscription. When paid plans are available, pricing, billing frequency, and renewal terms will be presented to you before purchase. Subscriptions renew automatically unless cancelled before the renewal date. Fees are stated in Canadian dollars unless otherwise noted and may be subject to applicable taxes. Except where required by law, fees are non-refundable. We may change pricing on prospective notice. [Confirm billing processor and refund terms before enabling paid plans.]

6. Your data and content

You own the corporate data and documents you put into the Service. You grant us a limited licence to host, process, and display that content solely to provide the Service to you. We handle your personal information as described in our Privacy Policy. You are responsible for maintaining your own copies of important documents; the document vault is a convenience, not a system of record or a backup guarantee.

7. Service availability

We aim to keep the Service available and accurate but do not guarantee uninterrupted, error-free, or always-current operation. We may modify, suspend, or discontinue features at any time. Compliance rules change; while we work to keep information current and indicate when obligations were last verified, we do not warrant that all information is complete or up to date.

8. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law.

9. Limitation of liability

To the fullest extent permitted by applicable law, mybizhub and its directors, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, good standing, or goodwill, arising out of or related to your use of (or inability to use) the Service, even if advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months before the claim, or (b) CAD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless mybizhub from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service or violation of these Terms.

11. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario for any dispute, subject to any non-waivable rights under applicable consumer-protection law. [Confirm the launch province with counsel — Ontario is suggested as a common default for a Canadian SMB product.]

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide reasonable notice. Continued use of the Service after changes take effect means you accept the revised Terms.
